01
Acceptance of terms
These Terms of Service ("Terms") govern access to and use of Signal Delivery Network websites, portals, applications, delivery technology, and related services (the "Services"). By using the Services, you agree to these Terms and any additional terms presented for a particular account, delivery request, program, quote, or integration.
If you use the Services for an organization, you represent that you are authorized to act for that organization. If you do not agree to these Terms, do not use the Services.
02
Eligibility and business use
The Services are intended for lawful business and commercial delivery activity. You must be able to enter into a binding agreement and provide accurate information. An organization is responsible for the people it authorizes to use its account.
03
Signal Services
Signal provides technology and operating support for business delivery requests. Depending on the request and confirmed program, this may include intake, requirements review, quoting, capacity coordination, status communication, exception handling, delivery documentation, proof, and related account or integration features.
Public descriptions explain potential service models. They do not guarantee that a particular service, market, provider, vehicle, equipment type, storage location, or handling capability is available for a request.
04
Accounts and access
You are responsible for maintaining accurate account information, protecting credentials, limiting access to authorized users, and promptly notifying Signal of suspected unauthorized access. Roles and permissions may control what users can view or change within an organization.
05
Customer responsibilities
Customers must provide information reasonably needed to understand and perform the requested work, identify material and handling requirements, prepare pickup items where applicable, provide lawful access and receiving instructions, and identify conditions that could affect safe or practical execution.
06
Delivery requests and information
A request should accurately identify locations, contacts, timing, items or materials, dimensions and weight where relevant, access conditions, equipment or handling needs, proof requirements, and special instructions. Signal and participating providers may rely on that information. Material changes may require renewed review, a different response, or revised pricing.
07
Quotes, pricing, and availability
Preparing or submitting request details does not by itself mean that Signal has accepted a delivery. Quotes and availability may depend on complete requirements, timing, geography, provider and equipment fit, and other operating conditions. Market representation does not guarantee service.
Unless a future Signal experience expressly identifies a price as binding and accepted, displayed or prepared pricing may require confirmation. Any applicable taxes, accessorial charges, cancellation terms, or other commercial conditions must be presented or agreed through the relevant quote, order, program, or service agreement.
08
Delivery providers and network capacity
Signal may coordinate capacity from independent delivery professionals, fleets, carriers, brokers, specialized providers, and other sources appropriate to the request. The participants and their roles may vary by program and geography. These Terms describe the operational network and do not make a universal regulatory, employment, agency, or provider classification.
09
Cancellations, changes, and exceptions
Changes to timing, locations, material, access, handling, or receiving conditions can affect feasibility and price. Signal may pause, revise, decline, or seek additional information for a request when conditions differ from what was provided. Any fees or service-specific cancellation rules must be stated in the applicable quote, order, program, or agreement rather than inferred from this website.
10
Proof, records, and communications
The Services may create records of status, messages, photographs, signatures, documents, location or stop events, exceptions, and delivery completion. Proof reflects the information captured through the applicable workflow and should be reviewed promptly. Users should provide an appropriate contact for operational communications.
11
Payments and billing
Billing and payment arrangements depend on the customer relationship and applicable service terms. Payment information may be processed by a third-party payment provider. Customers are responsible for authorized charges and accurate billing information under the terms presented for the applicable transaction or program.
12
Customer content
You retain ownership of content you provide. You represent that you have the right to provide delivery instructions, contact details, documents, photographs, invoices, and other content submitted through the Services.
You grant Signal a limited right to host, use, reproduce, transmit, and share that content only as reasonably needed to provide, coordinate, secure, support, document, and improve the Services, comply with law, and enforce applicable agreements.
13
Acceptable use
You may not misuse the Services, interfere with their operation, attempt unauthorized access, submit knowingly false or misleading information, impersonate another person or organization, use the Services to violate law or another party's rights, or introduce malicious code.
14
Prohibited items and activities
Do not request movement of unlawful, stolen, dangerous, restricted, hazardous, regulated, or otherwise unsuitable items without prior disclosure and explicit confirmation that the request can lawfully and appropriately be supported. Signal may reject or stop a request when the material or activity presents an undisclosed legal, safety, handling, or operational concern.
A complete prohibited-items policy requires approval and may vary by provider, equipment, market, and applicable law.
15
Third-party services and integrations
The Services may connect with or rely on third-party infrastructure, authentication, payment, mapping, communications, operational, and customer-authorized systems. Third-party services may have their own terms and policies. Responsibility for a third party's independent service or content is determined by the applicable agreement and law.
16
Intellectual property
The Services, including Signal's software, interfaces, branding, designs, and documentation, are owned by Signal or its licensors and are protected by applicable intellectual-property laws. Subject to these Terms, Signal grants authorized users a limited, nonexclusive, nontransferable right to use the Services for their intended business purpose.
17
Feedback
If you provide ideas or feedback about the Services, Signal may use that feedback without restricting your ability to use your own ideas. Do not submit confidential information as feedback unless Signal has agreed to receive it as confidential.
18
Service changes and availability
Signal may update, add, remove, suspend, or change Service features as the platform and operating model evolve. Maintenance, outages, provider conditions, customer systems, and events outside reasonable control may affect availability. This section does not override commitments expressly agreed in a customer or program agreement.
19
Suspension and termination
Signal may restrict or suspend access when reasonably necessary to protect the Services or users, address suspected misuse, respond to legal requirements, or manage an ended business relationship. Account deletion requests are handled separately as described in the Privacy Policy.
20
Disclaimers
Website descriptions and illustrative interfaces are provided for general information and do not create a guarantee of service, capacity, timing, equipment, or outcome. Any warranties or disclaimers applicable to paid delivery services must be established in the agreement or confirmed terms governing those services. Nothing in these Terms excludes rights that cannot lawfully be excluded.
21
Limitation of liability
The allocation and limitation of liability for delivery services, platform access, or a customer program must be set out in the applicable agreement and approved legal terms. These interim Terms do not state an unapproved liability cap or attempt to waive liability that cannot lawfully be limited.
22
Indemnification
Any indemnification obligations must be stated in an applicable customer, provider, partner, or other agreement. No additional indemnity scope is created by this interim public page.
23
Governing law and disputes
The governing law, venue, arbitration, and other dispute terms applicable to a relationship must be identified in the agreement governing that relationship. Signal has not designated a jurisdiction-specific rule through this interim public page.
24
Changes to these Terms
Signal may update these Terms as the Services and applicable requirements change. The revised Terms will display an updated effective date. Additional notice may be provided when appropriate. Continued use after an update is subject to applicable notice and consent requirements.
